1. Acceptance of Terms

By accessing or using the Ragtoolina website at ragtoolina.com, the Ragtoolina desktop application for macOS, or any related services (collectively, the “Service”), you agree to be bound by these Terms of Use (“Terms”). If you do not agree to these Terms, you may not use the Service.

These Terms constitute a legally binding agreement between you and Ragtoolina (“we,” “us,” or “our”).

2. Description of Service

Ragtoolina is a developer tool that provides semantic codebase context for AI coding assistants. The Service includes:

• A macOS desktop application that indexes local codebases and generates semantic embeddings
• Cloud infrastructure for storing vector embeddings and enabling semantic search
• A web-based dashboard for managing teams, projects, integrations, and subscriptions
• API access for programmatic interaction with indexed codebases

3. Account Registration

To use the Service, you must create an account with a valid email address and password. You are responsible for maintaining the confidentiality of your credentials and for all activities under your account.

During our pre-release period, access may be gated through a waitlist. We reserve the right to approve or deny access at our sole discretion. Accounts that have not been approved will have limited or no access to the Service.

You must provide accurate information when creating your account. We reserve the right to suspend or terminate accounts that contain false or misleading information.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorized access to any part of the Service, other accounts, or computer systems
• Interfere with or disrupt the integrity or performance of the Service
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service to index codebases you do not have the right to access
• Resell, sublicense, or redistribute the Service without our written consent
• Circumvent any access restrictions, including waitlist or blocking mechanisms

5. Your Content

You retain all ownership rights to the code and content you index through the Service. By using the Service, you grant us a limited, non-exclusive license to process your content solely for the purpose of generating embeddings and providing the Service to you.

We do not claim ownership of your code. We do not store your raw source code on our servers — only vector embeddings and file metadata are retained. You are responsible for ensuring you have the necessary rights to index any code you submit to the Service.

6. Payment and Billing

Certain features of the Service require a paid subscription. Subscription fees are billed in advance on a monthly or annual basis through Stripe.

• Free Plan: Available with limited features at no cost.
• Pro Plan: $19/month with a 14-day free trial for new subscribers.
• Enterprise Plan: Custom pricing based on your organization’s needs.

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial billing periods.

We reserve the right to change subscription pricing with 30 days’ notice. Price changes will take effect at the start of your next billing cycle.

7. Intellectual Property

The Service, including its design, code, features, and documentation, is owned by Ragtoolina and protected by intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, logos, or branding without prior written consent.

8. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may perform maintenance, updates, or modifications that temporarily affect availability. We will make reasonable efforts to notify you in advance of planned downtime.

As a pre-release product, features may change, be added, or be removed without prior notice.

9. Limitation of Liability

To the maximum extent permitted by law, Ragtoolina shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of profits, or business interruption, arising out of or related to your use of the Service.

Our total liability for any claims arising from the Service shall not exceed the amount you paid us in the 12 months preceding the claim. The Service is provided “as is” and “as available” without warranties of any kind, express or implied.

10. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, including for violation of these Terms. You may delete your account at any time by contacting us.

Upon termination, your right to use the Service ceases immediately. We will delete your indexed data within 30 days of account termination, unless retention is required by law.

11. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the “Last updated” date. Continued use of the Service after changes constitutes acceptance of the revised Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration or in the courts of competent jurisdiction.
